1. Agreement to Terms
These Terms of Service (“Terms”) form a legal agreement between you and Z Pixel Labs, LLC (“Z Pixel Labs,” “we,” “us,” or “our”) and govern your access to and use of our websites, products, content, and services (collectively, the “Services”). By accessing or using the Services, or by placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Who We Are
Z Pixel Labs, LLC is a limited liability company organized under the laws of the State of Delaware, USA, with a registered location in Wilmington, Delaware, USA. We are a creative technology studio that designs and sells personalized digital products, creative content, and lightweight software tools. You can reach us at hello@zpixellabs.com.
3. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services or place an order. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. The Services are not directed to children.
4. Accounts
Some features may require you to create an account. You agree to provide accurate, current information and to keep it up to date. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us promptly of any unauthorized use or security breach.
We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
5. Orders, Pricing & Payments
Prices are listed at the point of purchase and may change at any time, though changes will not affect orders already placed. We offer two broad categories of products: digital products (such as downloadable digital editions) and print-on-demand products (such as physical printed books produced to order).
- Payments are processed by our third-party payment provider, Stripe. We do not store your full payment card details.
- By submitting an order, you authorize us, through Stripe, to charge your selected payment method for the total amount shown, including any applicable taxes and shipping.
- All amounts are in U.S. dollars unless otherwise stated. You are responsible for any taxes, duties, or customs fees imposed by your jurisdiction.
- We may refuse, cancel, or limit any order — for example, in cases of suspected fraud, pricing errors, or content that violates these Terms.
6. Digital Products & Delivery
Digital products are delivered electronically, typically by a download link or access made available after your order is processed and your personalized content has been generated. Generation may take time; we will indicate expected timing where practical. You are responsible for downloading and saving your files. We are not responsible for losses caused by your failure to retain delivered files or by issues outside our control, such as your internet connection or device.
7. Print-on-Demand & Shipping
Physical products are printed on demand and fulfilled through us or our print and shipping partners. Production and delivery timelines are estimates, not guarantees, and may vary by product, destination, and carrier. Risk of loss passes to you upon delivery to the carrier. You are responsible for providing a complete, accurate shipping address; we are not liable for orders delayed or lost due to incorrect address information.
8. User Content & Uploaded Photos
Our products are personalized using content you provide, which may include photographs, names, and other materials (“User Content”). You retain ownership of your User Content.
By uploading or submitting User Content, you grant Z Pixel Labs a limited, worldwide, royalty-free license to host, store, process, reproduce, modify, and adapt that content solely as necessary to produce, deliver, and support the product you ordered (including generating images and assembling your finished comic or other product).
You represent and warrant that:
- You own, or have all rights, consents, and permissions necessary to upload and use the images and other materials you submit.
- You have the consent of every identifiable person appearing in any photo you upload to have their likeness used to create the product.
- Your User Content does not infringe the intellectual property, privacy, or publicity rights of any third party and does not violate any law.
You are solely responsible for your User Content. Our handling of personal information is described in our Privacy Policy.
9. Acceptable Use
You agree not to use the Services to:
- Upload content that is unlawful, infringing, defamatory, hateful, sexually explicit, or that depicts a minor in an inappropriate manner.
- Impersonate any person or use the likeness of another person without their consent.
- Attempt to interfere with, disrupt, reverse-engineer, or gain unauthorized access to the Services or related systems.
- Resell, redistribute, or commercially exploit our products beyond the rights granted in these Terms.
- Use automated means to access the Services in a way that places unreasonable load on our infrastructure.
10. Intellectual Property
The Services, including our software, website, designs, templates, branding, and content (excluding your User Content), are owned by Z Pixel Labs, LLC or our licensors and are protected by intellectual property laws. Subject to your compliance with these Terms and full payment, you receive a personal, non-exclusive, non-transferable license to use the finished product you purchased for your own personal, non-commercial purposes. We retain all rights not expressly granted to you.
11. Refunds & Cancellations
Because our products are personalized and made to order, refund eligibility differs by product type:
- Digital products. Because these are custom- generated and delivered electronically, they are generally non-refundable once generation has begun or the files have been delivered. If a product fails to generate or is materially defective, contact us and we will work to re-generate it or issue an appropriate remedy.
- Physical (print-on-demand) products. Because each item is printed to order, we cannot accept returns for buyer’s remorse. If your item arrives damaged, defective, or materially different from what you ordered, contact us within a reasonable time with photos and we will arrange a replacement or refund.
Orders may generally be cancelled before production or generation begins. Once production or generation has started, cancellation may not be possible. To request a cancellation or refund, contact hello@zpixellabs.com.
12. Disclaimers & Limitation of Liability
The Services and products are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated content may contain inaccuracies or imperfections, and we do not warrant that results will meet your specific expectations.
To the maximum extent permitted by law, Z Pixel Labs, LLC and its officers, members, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Services. To the fullest extent permitted by law, our total aggregate liability for any claim relating to the Services will not exceed the amount you paid to us for the product giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Z Pixel Labs, LLC and its members, officers, and contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your violation of these Terms, or your violation of any law or the rights of a third party.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be communicated where appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
